SUBSCRIPTION Terms & Conditions

This Subscription Agreement (“Agreement”) is entered into between:
Company: Wall2Wall Security

1. Services

Wall2Wall Security agrees to provide subscription-based services, including asset tracking, monitoring, and associated support services (“Services”).

2. Contract Term

  • This Agreement shall commence on the Start Date and continue for a minimum period of 12 months (“Initial Term”).
  • After the Initial Term, the Agreement will automatically renew on a rolling monthly basis unless terminated in accordance with this Agreement.

3. Payment Terms

  • All subscription payments must be made via Direct Debit only.
  • A Direct Debit mandate will be issued with the initial invoice and must be completed prior to service activation.
  • Payments are collected on a monthly basis.
  • If the Customer wishes to terminate the Agreement before the completion of the Initial Term, the Customer is liable to pay the remaining subscription fees for the remainder of the Initial Term.
  • After the Initial Term, either party may terminate the Agreement by providing 30 days’ written notice.
  • Failure to maintain an active Direct Debit may result in suspension of services.

4. Pricing

  • Subscription fees are outlined in the initial quotation or invoice.
  • The Company reserves the right to review pricing after the Initial Term, with reasonable notice provided.

5. Customer Responsibilities

The Customer agrees to:

  • Use the equipment and services in accordance with provided instructions.
  • Not tamper with, damage, or misuse any devices supplied.
  • Ensure devices are kept charged and operational.
  • Notify the Company of any faults or issues promptly.

6. Equipment

  • Any equipment supplied remains the property of the Company.
  •  The Customer is responsible for the safekeeping of all devices.
  • Lost, damaged, or unreturned equipment may be chargeable.

7. Service Availability

The Company will use reasonable efforts to ensure continuous service but does not guarantee uninterrupted availability.

8. Termination

  • The Agreement cannot be terminated during the Initial 12-month term except in cases of breach.
  • If the Customer terminates the Agreement during the Initial Term, the Customer must pay the remaining subscription fees for the remainder of the Initial Term.
  • After the Initial Term, either party may terminate the Agreement by providing 30 days’ written notice.
  • Early termination after the Initial Term may result in charges equivalent to the remaining contract value within the notice period.

9. Suspension of Services

The Company reserves the right to suspend services if:

  • Payments are missed or Direct Debit is cancelled.
  • The Customer breaches any terms of this Agreement.

10. Liability

  • The Company shall not be liable for indirect or consequential losses.
  • Total liability shall not exceed the total fees paid under this Agreement.

11. Data Protection

Both parties agree to comply with applicable data protection laws, including GDPR, where applicable.

12. General

  • This Agreement constitutes the entire agreement between the parties.
  • Any amendments must be made in writing and agreed by both parties.
