Terms & Conditions

1. Definitions

“Company” / “Customer” – The party purchasing goods or services. “Services” – Any security-related services provided by Wall2Wall Security Ltd. “Products” – Any goods supplied, including hire equipment. “Contract” – The legally binding agreement formed under Section 2. “Invoice” – Any bill issued for products or services. “Subscription” – Any recurring service billed monthly.

2. Formation of Contract

A binding contract is formed when the Customer:

  • Places an order
  • Accepts a quotation
  • ·Receives an invoice
  • Uses Wall2Wall Security Ltd’s services

Receipt of an invoice constitutes acceptance of these Terms and Conditions.

3. Payment Terms

  • Payment is due within 30 days of the invoice date unless agreed otherwise in writing.
  • Orders exceeding £5,000 may require a 40% deposit, payable under these Terms.

4. Late Payments

  • Payments not received within 30 days are considered late.
  • A 25% late fee may be applied to the outstanding balance every 30 days until payment is made in full.

5. Payment Methods

Accepted payment methods:

  • Credit card
  • Bank transfer
  • Secure invoice payment link

Payments must be made in the currency stated on the invoice.

6. Tracker Subscriptions

By receiving the invoice, the Customer enters a binding, non-cancellable 12-month subscription contract.

  • All Tracker Subscriptions have a minimum fixed term of 12 months.
  • Early cancellation does not remove payment obligations.
  • All monthly charges remain due and payable until the full 12-month term is completed.

7. Credit Checks

  • By placing an order, the Customer consents to a credit check.
  • Credit limits may be applied.
  • Orders exceeding the approved limit may be declined unless alternative arrangements are agreed.

8. Invoice Disputes

  • Any invoice disputes must be raised within 7 days of the invoice date.
  • Failure to dispute within this timeframe constitutes acceptance of the invoice’s accuracy.

9. Non-Payment

Wall2Wall Security Ltd may pursue all legal remedies, including:

  • Debt recovery agencies
  • Legal action
  • Administration fees at cost

Goods remain the property of Wall2Wall Security Ltd until paid in full. We reserve the right to recover goods if payment is not made.

10. Suspension of Services

  • Services may be suspended for late or non-payment.
  • Wall2Wall Security Ltd is not liable for losses caused by suspension.

11. Taxes, Governing Law & Jurisdiction

  • Prices exclude applicable taxes unless stated.
  • Customers are responsible for taxes, duties, and levies.
  • These Terms are governed by UK law.
  • Jurisdiction: Courts of England and Wales.

12. Refunds

  • Refunds are issued solely at the discretion of Wall2Wall Security Ltd.
  • Approved refunds will be processed within a reasonable timeframe.

13. Returns

Returned items must:

  • Be returned within 14 days of the invoice date
  • Be securely packaged
  • Include accessories and documentation

Return shipping costs are the Customer’s responsibility unless agreed otherwise.

14. Pricing & Product Terms

  • All pricing, including hire terms, may change without notice.
  • Wall2Wall Security Ltd reserves the right to adjust pricing at any time.

15. Limitation of Liability

Wall2Wall Security Ltd is not liable for:

  • Indirect or consequential losses
  • Loss of business, revenue, or profits
  • Damages arising from misuse

Liability for direct damages is limited to the amount paid for the relevant order.

16. Force Majeure

Wall2Wall Security Ltd is not liable for delays or failures caused by events beyond our control, including:

  • Natural disasters
  • Strikes
  • Supply chain disruptions
  • Government restrictions
  • Equipment failure outside our control

17. Confidentiality

Both parties agree to keep confidential all non-public information exchanged during the course of business. Confidential information may not be disclosed without written consent except where required by law.

18. Data Protection

Wall2Wall Security Ltd processes personal data in accordance with UK GDPR.

Customer data may be used for:

  • Order processing
  • Service delivery
  • Fraud prevention
  • ·Legal compliance

19. Changes to Terms

Wall2Wall Security Ltd may update these Terms at any time. Changes take effect immediately upon publication or notification.

20. Acceptance of Terms

By placing an order, receiving an invoice, or using our services, the Customer confirms acceptance of these Terms and Conditions.
